Article of Amendment to the Articles of Incorporation of Little Elk Creek Village Homeowners Association
Pursuant to the provisions of die Colorado Corporation Act, the undersigned corporation adopts the Mowing Articles of Amendment to its Articles of Incorporation:
FIRST: The name of the corporation is LITTLE ELK CREEK HOME OWNERS ASSOCIATION, a non-profit Colorado corporation.
SECOND: The following amendment was adopted by the shareholders of the corporation on June 11, 2003, in the mariner prescribed by the Colorado Corporation Act:
Article VIII - Members Meetings Paragraph 2 thereof shall be amended to read in its entirety as follows:
The annual meeting of members, after the year 1978, for the election of Trustees to succeed those whose terms expire and for the transaction of such other business as may come before the meeting shall be held in each year on the second Wednesday in June at seven o’clock P.M. If the sate so fixed for annual meetings shall be a legal holiday, then such meeting shall be held on the third Wednesday in June at seven o’clock P. M.
THIRD: The meeting of the members of the Little Elk Creek Village Home Owners Association was held on June 11, 2003. There was a quorum of the members present at the meeting, and the adoption of this Amendment received at least a two-thirds (213) vote of the members at the meeting or represented by proxy, the number of shares of the corporation outstanding at the time of such adoption was Seventy-Six (76) shares, and the number of shares emitted to vote thereon was Seventy-Three (73). The number of shares voting against such Amendment was 0.
